Case Scenario 1

Our team supported a UK based business that produced a chemical product to review a master services agreement for a manufacturing business based outside of the UK. As the master services agreement was a standard document for the manufacturing business, it contained a lot of provisions that were irrelevant and, in some cases, detrimental to our client’s business. Our team supported the client to negotiate the complex document by analysing the risks that the client was exposed to, providing them with a good footing for their negotiations.

Our team supported a large business in the food and drink sector to review complex framework agreements and call-off contracts forming part of their many high value public procurement contracts. Our team was instructed by a business that has been supplying heavy machinery and industrial equipment for close to half a century. The company’s standard terms and conditions were outdated and needed to be reviewed and ‘refreshed’ to facilitate the business’ growth plans and to protect the business from unnecessary liability.

The client was surprised how their old version of the terms and conditions were lacking in terms of recent legal developments and how the business was exposed to huge liability risks as a result. The client swiftly instructed us to produce a brand-new set of terms and conditions and was happy we came on board at a time they were getting ready to enter into huge contracts with new customers they had not previously established a custom with.

Case Scenario 4

Our team was instructed to draft standard terms and conditions by a consultant who provides their services through a personal service company to various small businesses in the private sector. The consultant required a contract that would have unform application to all customers that they provide their consultancy services to. Our team was able to assist in assessing that the consultant was not classed as a worker and determine that off-payroll working rules (IR35) did not apply, providing the client with tax efficient options for their business.

Case Scenario 5

Our client regularly provides professional services to various higher learning institutions. We assisted this client to update their terms and conditions to reflect their new business objectives. We also regularly assisted the client with ad hoc queries including requests to negotiate their standard terms and conditions with particular customers. As some of our client’s customers are public bodies, we supported our client to complete complex tender documents in order to secure higher value contracts in the public sector.

Our team successfully designed a bespoke agreement between a business client in the food and drink business and another business that manufactures fertiliser from organic waste. The parties wanted to work together to eliminate waste from farms in a symbiotic arrangement that assisted our client to fulfil their corporate responsibility obligations while also providing the manufacturer with raw materials for their commercial product.
