Case Study – Share buyback for logistics company
The Corporate and Commercial team at Wilson Browne Solicitors were delighted to recently advise a local logistics company in its recent buyback of shares from a retiring shareholder. The logistics company services their clients across the regions, whether that be for their storage or warehousing needs.
The transaction involved the purchase of the shares of the retiring shareholder, and was funded by sufficient distributable reserves of the company. Several key documents were required to ensure this was achieved correctly and detailed advice was provided throughout.
The team worked closely with the accountants to ensure that the transaction was completed in an efficient manner as well as abiding by the HMRC clearance obtained by the accountants.
Tom Charteress, a Solicitor within the team who advised the client throughout, commented:
I was pleased to be able to assist the company in achieving the buyback and the outcome that was desired by all parties. Working with accountants locally and helping solve client issues in a timely manner, while providing clear and direct advice, is something that I have always been enthusiastic about. Share buybacks of all scales are frequently undertaken by the team and I was only too happy to be able to showcase our capabilities
